Terms of Service

These Terms of Service (“Terms”) form a binding legal agreement between you (“you,” “User,” or “Customer”) and itD dba Fastr.ai (“Fastr.ai,” “we,” “us,” or “our”) for your access to and use of the public-facing Fastr.ai platform, website, and related services (collectively, the “Platform”). 

By accessing, registering for, logging in to, or using the Platform in any way, you agree to these Terms. If you do not agree, do not use the Platform. 

Important – Enterprise Customers: If you are using a private, closed Enterprise environment created specifically for your organization, these Terms apply only to general website access. Your use of Enterprise Services is governed exclusively by your separately signed Master Services Agreement (MSA), Order Form (if any), and Data Processing Addendum (DPA). In case of conflict, the signed MSA prevails. 

For the avoidance of doubt, if Customer has entered into a separate written Master Services Agreement (‘MSA’) with Fastr.ai, such MSA shall govern the relationship, and these Terms shall serve only to govern use of the public-facing Platform or website features not covered by said MSA.” 

1. Eligibility and Account 

You must be at least 18 years old and capable of forming a binding contract. You agree to provide accurate, current information during registration and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use at support@fastr.ai. 

We may suspend or terminate accounts for violations of these Terms, law, or at our discretion. 

2. Services and Use 

We provide an AI-powered public platform for talent discovery, search, and related tools. Access is provided “as is” and may be modified, suspended, or discontinued at any time (with reasonable notice for material changes where feasible). 

You may use the Platform solely for your personal or internal business purposes, in compliance with all applicable laws (including privacy, anti-spam, intellectual property, and export laws). 

3. User Obligations and Restrictions 

You agree not to: 

    • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform (except as permitted by law). 
    • Modify, create derivative works, rent, lease, lend, sell, sublicense, or use in a service bureau/time-sharing manner. 
    • Use the Platform to violate laws, infringe rights, transmit harmful code, spam, harass, or engage in fraudulent/deceptive activity. 
    • Scrape, copy, or extract data except as expressly allowed. 
    • Use outputs or data to train external AI models or competing services. 
  • Circumvent usage limits, security, or access controls. 

You grant us a non-exclusive, royalty-free license to use your inputs/feedback to provide, maintain, and improve the Platform (including aggregated/anonymized data for analysis). 

AI Data Usage and Fine-Tuning. Fastr.ai may use Customer Data and inputs to train, retrain, or fine-tune machine learning models specifically for the benefit of that Customer and to improve the Platform’s performance for that Customer’s account. 

4. Intellectual Property  & Ownership

To provide clarity on data ownership, we distinguish between the information you provide and the results the Platform generates.

4.1 Customer Input (Your Data)
You retain all right, title, and interest in and to any data, information, or material you submit to the Platform (“Input”). You are solely responsible for the legality and accuracy of your Input. By using the Platform, you grant us a limited license to process this Input to provide the services and improve performance for your account.

4.2 Platform Output (Your Results)
Subject to your compliance with these Terms, Fastr.ai hereby assigns to you all right, title, and interest in the specific results generated and returned by the Platform based on your Input (“Output”). You own the Output and may use it for your internal business purposes.

4.3 Fastr.ai Protected Materials
Fastr.ai (and its licensors) retain sole and exclusive ownership of all rights, title, and interest in:

    • The Platform: All software, algorithms, source code, and “look and feel.”
    • Enrichment Data: Any proprietary data provided by Fastr.ai used to augment your search results.
    • Improvements: Any derivative works, modifications, or aggregated/anonymized data insights derived from the use of the Platform.

 

5. Payments (If Applicable) 

Certain features may require payment per displayed plans or subscriptions. Fees are non-refundable except as stated. Payments processed via third-party providers; you agree to their terms. Late payments accrue 1.5% monthly interest (or maximum allowed by law). 

6. Termination 

You may stop using the Platform anytime. We may suspend/terminate access for violations, non-payment (if applicable), or at discretion (with notice where reasonable). Upon termination, your license ends; you must cease use. 

Provisions on IP, confidentiality (if applicable), disclaimers, liability, indemnification, and governing law survive. 

7. Disclaimers and Limitation of Liability 

The Platform is provided “AS IS” and “AS AVAILABLE” without warranties of any kind (express/implied, including merchantability, fitness, non-infringement, accuracy of results). 

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages (e.g., lost profits, data loss), even if advised of the possibility. 

Our total liability is limited to the amount you paid us in the 12 months preceding the claim (or $100 if no payment). 

Exceptions: No limitation for gross negligence, willful misconduct, or where prohibited by law. 

8. Indemnification 

You agree to indemnify, defend, and hold us harmless from claims arising from your use of the Platform, violation of these Terms, or infringement by your content/inputs. 

9. Governing Law and Disputes 

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Santa Clara County, California. You consent to personal jurisdiction there. 

Prevailing party in any action is entitled to recover reasonable attorneys’ fees and costs. 

10. AI Compliance and Ethics  

The Platform is a tool to assist human decision-making and is not intended to replace independent professional judgment. Customer is solely responsible for ensuring its use of the Platform and any Outputs comply with applicable employment and anti-discrimination laws. Fastr.ai conducts regular internal reviews to mitigate algorithmic bias and maintain high ethical standards in its AI development. 

11. Miscellaneous 

  • Changes: We may update these Terms; continued use constitutes acceptance. Material changes posted with notice. 
  • Assignment: We may assign these Terms; you may not without our consent (except in merger/acquisition). 
  • Severability: Invalid provisions do not affect the rest. 
  • Entire Agreement: These Terms (plus Privacy Policy) are the full agreement; supersede prior understandings. 
  • No Waiver: Failure to enforce does not waive rights. 
  • Force Majeure: No liability for events beyond reasonable control (excluding payment obligations). 
  • Marketing: You grant us a limited license to use your name/logo to identify you as a customer (e.g., website, case studies).
